Terms and Conditions

These Terms and Conditions, the “Terms”, govern your access to and use of SuperSpell, the “Platform”. By using the Platform, you agree to these Terms.

1. About SuperSpell

SuperSpell is a spelling assistance tool that runs as an add-in within third party software, such as Microsoft Word. The Platform requires an active internet connection to work.

2. No service guarantees, “as is”

The Platform is provided “as is” and “as available”. We do not guarantee that the Platform will meet your needs, be error free, uninterrupted, secure, or fit for a particular purpose. You should perform your own due diligence before using the Platform. Where permitted by law, your sole remedy for a material error is for us to attempt to correct it within a reasonable time after you report it.

3. Third party platforms

SuperSpell operates inside third party platforms. We do not control those platforms and we are not responsible for issues caused by them, including outages, bugs, changes, or loss of functionality.

4. Accounts and eligibility

You must create an account to use the Platform. You agree to provide accurate, current, and complete information, and to keep it up to date. Upon registration, we grant you a personal, non transferable, non sublicensable, revocable license to use the Platform for your own internal business purposes, until these Terms are terminated.

5. Performance, security, and your setup

We take reasonable steps to help the Platform function as described at the time you signed up. Although we use industry standard measures to reduce malware and viruses, we do not guarantee the Platform will be free from bugs or viruses. You are responsible for configuring your hardware, software, and network to access the Platform, and for maintaining a stable and secure internet connection. We are not liable for any loss caused by your telecommunications or internet service disruptions.

6. Payments and billing

6.1 Payment provider, merchant of record

We use Paddle as our payment processor and merchant of record. You can pay by card or by PayPal, subject to Paddle’s availability. Transactions may appear on your statement as PADDLE.NET*SUPERSPELL. Paddle may issue invoices and collect applicable taxes in its name. Learn more at Paddle.com.

6.2 Subscription terms

If you subscribe to a monthly plan, fees are billed in advance at the start of each billing cycle. You can cancel at any time. Your access continues until the end of the current paid period, and no further payments will be taken after cancellation.

6.3 Refund policy

SuperSpell subscriptions are billed monthly in advance. The minimum term is one month and prepaid amounts are not refundable, except where you are a Consumer and have a statutory right to cancel as set out below.

If you are a Consumer, you may cancel your initial purchase within 14 days from the day after the Transaction is completed, without giving a reason. To do so, you must inform Paddle, our payment and merchant of record partner, that you wish to cancel, for example by contacting Paddle. This right to cancel applies only to the first subscription purchase, not to automatic renewals.

If you exercise this right to cancel in time, all payments you made for that purchase will be reimbursed to you by Paddle without undue delay, and in any event no later than 14 days from the day Paddle is informed of your decision. The reimbursement will be made using the same payment method you used, and you will not be charged any fees for the refund.

Outside the 14 day Consumer period, you may cancel your monthly subscription at any time. Your access will continue until the end of the current paid month, after which no further payments will be taken. We do not provide partial refunds or credits for unused time, downgrades, or early cancellation within a billing period.

Refunds outside the cases above are issued at Paddle’s sole discretion and may be refused if there is evidence of fraud, refund abuse, or other improper or manipulative behaviour. This does not affect your statutory rights, including your rights in respect of products or services that are not as described, are faulty, or are not fit for purpose.

6.4 Price changes

We may change prices. We will notify you in advance. The new price takes effect at the start of the next subscription period. By continuing to use SuperSpell Pro after the change, you agree to the new price.

7. Intellectual property

7.1 Our Platform

We, or our licensors, own all rights in the Platform and any updates, modifications, or improvements, whether created by us or suggested by you. All rights are reserved. We grant you a worldwide, non exclusive, non transferable, non sublicensable, revocable, limited license to use the Platform for internal use only, subject to these Terms. Your right to use the Platform ends when your subscription ends or when we terminate these Terms, whichever is sooner.

7.2 Your content

All documents, messages, logos, images, files, and other information you transmit through the Platform, “User Content”, remain yours. You grant us a worldwide, royalty free, non exclusive, transferable, sublicensable license to host, process, and use User Content as necessary to provide, operate, secure, and improve the Platform.

8. Acceptable use

You agree to use the Platform only for lawful purposes and for your own internal business use. You may not transfer, sell, distribute, lease, sublease, assign, or license the Platform to any third party.

9. No reverse engineering

You will not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Platform. You will not modify, translate, or create derivative works of the Platform, or copy it beyond archival or backup purposes. You will not rent, lease, distribute, pledge, assign, or otherwise transfer or encumber rights to the Platform.

10. Term, suspension, and termination

We may suspend or terminate your access if you breach these Terms, if your payment fails, if required by law, or to address security or operational risks. You may stop using the Platform at any time and, if on a paid plan, you can cancel as described in Section 6.2. 

11. Disclaimers and limitation of liability

To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business, even if we have been advised of the possibility of such damages.

12. Changes to the Platform and to these Terms

We may update the Platform and these Terms. If changes are material, we will provide notice, for example by email or in product. Changes take effect on the date stated in the notice. Your continued use of the Platform after the effective date means you accept the changes.

13. Notices and support

To report a substantial error or to contact support, email support@passage.software. We will seek to address substantial errors within a reasonable time where legally permitted, which is your sole remedy as described in Section 2.
